Błażej Piech

Chairman of the Board

Mr Błażej Piech is a graduate of Applied Informatics at the Warsaw University of Technology. Since 1996, he has conducted business activities in the IT sector, initially as an individual, then as a general partnership Comtech Błażej Piech Sylwester Kominek with its registered office in Warsaw, which was the basis for the establishment of IPTech Polska Sp. z o.o. with its registered office in Warsaw. From 2009 to 2011, he served as Vice President of the Issuer’s Management Board, from 2011 to May 2013 he served as Member of the Issuer’s Supervisory Board (from 18 February 2013 to 14 May 2013 he was temporarily delegated to serve as President of the Issuer’s Management Board), and from 15 May 2013 he assumed the position of President of the Management Board. Mr Błażej Piech was a member of the Supervisory Board of Proacta S.A. from 2023 to 2024 and is a shareholder of Montech Sp. z o.o..

In accordance with the statement submitted to the Company, Mr Błażej Piech does not conduct any activity competitive in respect of the Issuer, nor does he participate in a competitive company as a partner in a private partnership, partnership or as a member of the authority of a competitive capital company or a member of the authority of any competitive legal person. Mr Błażej Piech has not been sentenced in the last five years by a final court decision for any offence referred to in Article 18 § 2 of the Code of Commercial Partnerships and Companies or any offence referred to in the Act on Trading, the Act on Public Offering or the Act on Commodity Exchanges of 26 October 2000, or any analogous offence under foreign law, and has not been prohibited by a court decision from acting as a member of management or supervisory bodies in commercial law companies. Mr Błażej Piech is not entered in the Register of Insolvent Debtors maintained pursuant to the Act of 20 August 1997 on the National Court Register.

Tomasz Sulej

Vice-chairman of the Board

Mr Tomasz Sulej is a graduate of the Faculty of Technical Physics and Applied Mathematics, majoring in Applied Mathematics at the Warsaw University of Technology. Since 1996 he has worked in the IT industry related to software development at Telemedia Sp. z o.o., The MotherShip Poland (ahoj.pl), PTK Centertel. Co-founder of eo Networks Sp. z o.o. in 2001, permanently with the company since July 2006 as Director of Software Development/CTO. From 2012 to 2024 he was a Proxy of the Company.

In accordance with the statement submitted to the Company, Mr Tomasz Sulej does not conduct any activity competitive to the Issuer, nor does he participate in a competitive company as a partner in a civil partnership, a partnership or as a member of the authority of a competitive capital company or a member of the authority of any competitive legal entity. Mr Tomasz Sulej has not, in the last five years, been sentenced by a final court decision for any offence referred to in Article 18 § 2 of the Code of Commercial Partnerships and Companies or any offence referred to in the Act on Trading, the Act on Public Offering or the Act on Commodity Exchanges of 26 October 2000, or any analogous offence under foreign law, and has not received a court prohibition to act as a member of management or supervisory bodies in commercial law companies. Mr Tomasz Sulej is not entered in the Register of Insolvent Debtors maintained pursuant to the Act of 20 August 1997 on the National Court Register.

Tomasz Kwiatkowski

Vice-chairman of the Board

Mr Tomasz Kwiatkowski is a graduate of Marketing and Management at ART in Olsztyn. In the IT industry since 2000 starting from Hogart Sp. z o.o., through Oracle Corp., Microsoft until 2010 when he joined LGBS Polska Sp. z o.o. as a Partner. (later transformed into Euvic Sp. z o.o. and Euvic S.A.) starting as Commercial Director. From 2017 to 2020, he was a member of the Management Board of IT Works S.A. later transformed into Euvic IT S.A.. Mr Tomasz Kwiatkowski is employed at Euvic S.A. in the position of Sales Director and is a Partner of ŚPI Sp. z o.o..

In accordance with the statement submitted to the Company, Mr Tomasz Kwiatkowski does not conduct any activity competitive in respect of the Issuer, does not participate in a competitive company as a partner in a private partnership, partnership or as a member of the authority of a competitive capital company or a member of the authority of any competitive legal person. Mr Tomasz Kwiatkowski has not been sentenced in the last five years by a final court decision for any offence referred to in Article 18 § 2 of the Code of Commercial Partnerships and Companies or any offence referred to in the Act on Trading, the Act on Public Offering or the Act on Commodity Exchanges of 26 October 2000, or for any analogous offence under foreign law, and has not been prohibited by a court decision from acting as a member of management or supervisory bodies in commercial law companies. Piotr Muszyński

Member of the Supervisory Board

Mr Piotr Muszyński is a graduate of the Faculty of Law and Administration at the University of Wrocław, as well as the Advanced Management Programme organised by IESE Business School/University of Navarra and the Stanford Executive Program, Stanford University. From 2008 to 2018, Mr. Piotr Muszyński served as a member of the Management Board of Orange Poland (formerly Telekomunikacja Polska S.A.) for Operations and then as Vice President of the Management Board for Strategy and Transformation. From 2017 to 2022, he was a Partner and Member of the Management Board of Oyou Sp. z o.o.. Since 2018, he has been a partner of Synestica Sp. z o.o.. Mr Piotr Muszyński is a member of the Foundation for Supporting the Development of Radio Communication and Multimedia Techniques at the Warsaw University of Technology and a social advisor to the President of the Employers of Poland for ICT. Mr Piotr Muszyński currently serves as President of the Management Board of Fixmap Sp. z o.o. and is a member of the Supervisory Boards of Liquid Systems, GMZ.co, Tonetic Group and Wide – Net II.

As he declared to the Company, Mr Piotr Muszyński is not conducting any activities competitive to the Issuer’s business, does not participate in a competitive company as a partner in a private partnership, a partnership or as a member of the governing bodies of a competitive capital company or a member of the governing bodies of any competitive legal entity. Mr Piotr Muszyński has not, in the last five years, been sentenced by a final court decision for any offence referred to in Article 18 § 2 of the Code of Commercial Partnerships and Companies or for offences specified in the Act on Trading, the Act on Offerings or the Act on Commodity Exchanges of 26 October 2000, or for analogous offences under foreign law, and has not received a court prohibition to act as a member of management or supervisory bodies in commercial law companies. Mr Piotr Muszyński is not entered in the Register of Insolvent Debtors maintained pursuant to the Act of 20 August 1997 on the National Court Register.

Krzysztof Zawadzki

Member of the Supervisory Board

Mr Krzysztof Zawadzki graduated from the Faculty of Economics at the Academy of Economics in Katowice, postgraduate studies in Business Valuation and Financial Modelling organised by the Leon Koźmiński Academy in Warsaw, postgraduate studies in International Financial Reporting Standards organised by the Warsaw School of Economics and Ernst & Young Academy of Business, as well as in Accounting and Finance and Taxation at the Warsaw School of Economics. He completed doctoral studies at the Cracow University of Economics. He is qualified as a chartered accountant. Mr Krzysztof Zawadzki is currently the Economic and Financial Director at Euvic S.A., based in Gliwice, since 2018 he has been a shareholder and a Board Member of Moto Impuls Sp. z o.o., and since 2021 he has been the President of the Board of Euvic Job Spot Sp. z o.o.. Mr Krzysztof Zawadzki is a member of the Supervisory Boards of CPD S.A., Columbus Energy S.A., CHK S.A., Euvic Energia Sp. z o.o..

According to the statement submitted to the Company, Mr Krzysztof Zawadzki does not conduct activity competing with the Issuer, does not participate in a competing company as a partner in a civil law partnership, a partnership or as a member of the authority of a competing capital company or a member of the authority of any competing legal entity. Mr Krzysztof Zawadzki has not, in the last five years, been convicted by a final court decision of any offence referred to in Art. 18 § 2 of the Code of Commercial Partnerships and Companies or for offences specified in the Act on Trading, the Act on Offerings or the Act on Commodity Exchanges of 26 October 2000, or for analogous offences under foreign law, and has not been banned by a court from acting as a member of management or supervisory bodies in commercial law companies. Mr Krzysztof Zawadzki is not entered in the Register of Insolvent Debtors maintained pursuant to the Act of 20 August 1997 on the National Court Register.

Wojciech Kosiński

Member of the Supervisory Board

Mr Wojciech Kosiński graduated from the Silesian University of Technology with a degree in Computer Science. He started his professional career in 1996 at the Institute of Medical Technology and Apparatus in Zabrze. At the turn of 1999 and 2000, he worked as an IT engineer in the USA at Majesco Sales. He then served as technical director at Polstage from Rybnik. In 2004, he co-founded Euvic sp. z o.o., later to become Euvic S.A., where he has served as Vice President of the Management Board to date. He is also a co-founder and currently the President of Śląski Park Informatyczny sp. z o.o.. He serves as chairman of the supervisory board of Euvic IT S.A. and as a board member of the Swedish company Euvic AB. Since 2023, he has been the founder and chairman of the board of The Good People Foundation. In previous years, he was also chairman of Euvic Investment sp. z o.o. and vice-chairman of the board of LGBS Media sp. z o.o. (in which he remains a partner) and Softeq sp. z o.o..

As he stated to the Company, Mr Wojciech Kosiński does not conduct any activity competitive to the Issuer, does not participate in a competitive company as a partner in a private partnership, partnership or as a member of the authority of a competitive capital company or a member of the authority of any competitive legal person. Mr Wojciech Kosiński has not been convicted within the last five years by a final court decision for any offence referred to in Article 18 § 2 of the Commercial Companies Code or for offences specified in the Act on Trading, the Act on Public Offering or the Act on Commodity Exchanges of 26 October 2000, or for analogous offences under foreign law, and he has not been banned by court from acting as a member of management or supervisory bodies in commercial companies. Mr Wojciech Kosiński is not entered in the Register of Insolvent Debtors maintained pursuant to the Act of 20 August 1997 on the National Court Register.

Wojciech Wolny

Member of the Supervisory Board

Mr Wojciech Wolny is a graduate of the Faculty of Chemistry of the Silesian University of Technology in Gliwice. Mr. Wojciech Wolny is the originator and founder of the Euvic Technology Group, one of the largest federation of IT companies in Central Europe, finalist of the ‘Entrepreneur of the Year 2014’ competition of Ernst & Young. Mr. Wojciech Wolny currently holds the position of President of the Management Board in the following companies : Euvic S.A., Euvic IT S.A., Edge One Solutions Sp. z o.o. and is a member of Corporate Connections Poland. Mr Wojciech Wolny also serves on the supervisory boards of the following companies : yarrl S.A., Euvic Media S.A., Euvic Solutions S.A., and Euvic Energia Sp. z o.o.

In accordance with the statement submitted to the Company, Mr Wojciech Wolny does not conduct activity of competitive nature with regard to the Issuer, does not participate in a competitive company as a partner in a civil partnership, a partnership or as a member of the authority of a competitive capital company or a member of the authority of any competitive legal entity. Mr Wojciech Wolny has not been convicted within the last five years by a final court decision for any offence referred to in Article 18 § 2 of the Commercial Companies Code or for offences specified in the Act on Trading, the Act on Public Offering or the Act on Commodity Exchanges of 26 October 2000, or for analogous offences under foreign law, and he has not been banned by a court from acting as a member of management or supervisory bodies in commercial companies. Tomasz Misiak

Member of the Supervisory Board

Mr Tomasz Misiak is a graduate of the Wrocław University of Economics, IESE Business School, Georgetown University Global Leadership Seminar, Owners President Management Executive Program and Global CEO Program. Founder of Work Service S.A., the market leader in HR services in Central Europe, listed on the Warsaw Stock Exchange. From 1999 to 2007, he held the position of Vice President of the Management Board, then President of the Supervisory Board of Work Service S.A. until 2019. He also sat on the Supervisory Boards of the companies: Exact Systems Sp. z o.o., IT Kontrakt Sp z. o. o., Finance Care Sp. z o.o., Telakces Com Sp z .o.o., MM Conferences S.A, which is a company listed on New Connect. He was also a member of the Supervisory Boards of the companies: Hawe S.A., IDM S.A. He served as President of the Świat Idei Foundation, publisher of the Polish edition of Project-Syndicate. Currently, he serves as an advisor to the Management Board of Mizyak Investment Fund Sp. z o.o.. He has been Vice President of the Employers of Poland since 2012 and a member of the Polish Business Roundtable since 2014. He has extensive experience in socio-political activities. After a period of activity in student organisations, he became active in local government in the Wrocław City Council, where he held the position of Chairman of the Committee for Economic Initiatives. In 2005-2011, as a Senator of the Republic of Poland, he held the position of the Chairman of the Economy Committee and participated in the work of the European Union Committee. Winner of numerous business awards, including Teraz Polska, Ernst&Young Entrepreneur of the Year, Entrepreneurship Leader, or Market Leader, Manager of the Year. He is involved in economic and strategic consulting, in particular for the family fund Investment Mizyak Corp. He currently sits on the supervisory boards of: Personnel Service S.A., Antal Sp. z o.o., GMZ.co Sp. z o.o. (owner of intymna.pl), Goldgreen Sp. z o.o. and Stermedia.Ai Sp. z o.o..
