Wojciech Wolny

Chairman of the Board

Mr. Wojciech Wolny is a graduate of the Faculty of Chemistry at the Silesian University of Technology in Gliwice. He is the founder and originator of the Euvic Technology Group, one of the largest federations of IT companies in Central Europe, and a finalist of the Ernst & Young “Entrepreneur of the Year 2014” competition. He currently serves as President of the Management Board at Euvic S.A., Euvic IT S.A., Edge One Solutions Sp. z o.o., and is a member of Corporate Connections Poland. Mr. Wolny is also a Management Board Member of Euvic 2030 Sp. z o.o. and 3TS CEE Fund Sicaf-Sif. Additionally, he serves on the Supervisory Boards of yarrl S.A., Euvic Media S.A., Euvic Solutions S.A., Digitree Group S.A., The Good People Foundation, and Columbus Energy S.A. He is also a shareholder, partner, or co-owner of Ardium Sp. z o.o., Euvic Software GmbH, LG Nexera Business Solutions AG, Silesian IT Park Sp. z o.o., and Euvic S.A.

According to the statement submitted to the Company, Mr. Wojciech Wolny does not engage in any business activity competitive to the Issuer, nor does he participate in any competing company as a partner in a civil or personal partnership, or as a member of the governing bodies of a competing capital company or any other competing legal entity. Mr. Wolny has not, within the last five years, been convicted by a final court judgment of any offenses referred to in Article 18 §2 of the Polish Commercial Companies Code, or offenses defined in the Act on Trading in Financial Instruments, the Act on Public Offering, or the Act of October 26, 2000 on Commodity Exchanges, nor of equivalent offenses under foreign law. He has not been prohibited by a court from acting as a member of the management or supervisory bodies of commercial law companies. Mr. Wolny is not listed in the Register of Insolvent Debtors maintained under the Polish National Court Register Act of August 20, 1997.

Łukasz Czernecki

Vice-chairman of the Board

Mr. Łukasz Czernecki is a graduate of the Warsaw School of Economics (Finance and Accounting). Mr. Łukasz Czernecki is a manager with over 15 years of experience in managing ERP programs and implementation projects. He developed his professional career in an international environment, implementing projects worth EUR 10 to 150 million in Europe, the USA and Eastern countries. He has cooperated with such corporations as Nestlé, PepsiCo and Frito-Lay. In the years 2015–2020 he was the founder and President of the Management Board of Edge One Solutions Sp. z o.o. and eduLAB Sp. z o.o. Since 2018 he has been associated with the Euvic Group. Mr. Łukasz Czernecki currently holds the position of Vice President of the Management Board at Euvic S.A., President of the Management Board at Euvic Ukraina Sp. z o.o., Edulab Sp. z o.o., Edge One Innovations Sp. z o.o., Nine Cavaliers Sp. z o.o., Heat4u Sp. z o.o., Mtax Holding Sp. z o.o., Mr. Łukasz Czernecki is a Member of the Supervisory Boards of the following companies: Euvic IT S.A., Universality Sp. z o.o. and a Member of the Council of The Good People Foundation. During the last three years, Mr. Łukasz Czernecki has served on the Supervisory Board of Green Lane Foods S.A., and also served on the Management Boards of the following companies: Jobllegro Sp. z o.o., Akcelerator Inteligentnych Miast Sp. z o.o., Lack Sp. z o.o.

In accordance with the statement submitted to the Company, Mr Łukasz Czernecki does not conduct any activity competitive to the Issuer, nor does he participate in a competitive company as a partner in a civil partnership, a partnership or as a member of the authority of a competitive capital company or a member of the authority of any competitive legal entity. Mr Łukasz Czernecki has not, in the last five years, been sentenced by a final court decision for any offence referred to in Article 18 § 2 of the Code of Commercial Partnerships and Companies or any offence referred to in the Act on Trading, the Act on Public Offering or the Act on Commodity Exchanges of 26 October 2000, or any analogous offence under foreign law, and has not received a court prohibition to act as a member of management or supervisory bodies in commercial law companies. Mr Łukasz Czernecki is not entered in the Register of Insolvent Debtors maintained pursuant to the Act of 20 August 1997 on the National Court Register.

Tomasz Kwiatkowski

Vice-chairman of the Board

Mr Tomasz Kwiatkowski is a graduate of Marketing and Management at ART in Olsztyn. In the IT industry since 2000 starting from Hogart Sp. z o.o., through Oracle Corp., Microsoft until 2010 when he joined LGBS Polska Sp. z o.o. as a Partner. (later transformed into Euvic Sp. z o.o. and Euvic S.A.) starting as Commercial Director. From 2017 to 2020, he was a member of the Management Board of IT Works S.A. later transformed into Euvic IT S.A.. Mr Tomasz Kwiatkowski is employed at Euvic S.A. in the position of Sales Director and is a Partner of ŚPI Sp. z o.o..

In accordance with the statement submitted to the Company, Mr Tomasz Kwiatkowski does not conduct any activity competitive in respect of the Issuer, does not participate in a competitive company as a partner in a private partnership, partnership or as a member of the authority of a competitive capital company or a member of the authority of any competitive legal person. Mr Tomasz Kwiatkowski has not been sentenced in the last five years by a final court decision for any offence referred to in Article 18 § 2 of the Code of Commercial Partnerships and Companies or any offence referred to in the Act on Trading, the Act on Public Offering or the Act on Commodity Exchanges of 26 October 2000, or for any analogous offence under foreign law, and has not been prohibited by a court decision from acting as a member of management or supervisory bodies in commercial law companies. Wojciech Kosiński

Vice-chairman of the Board

Mr. Wojciech Kosiński is a graduate of the Silesian University of Technology, where he completed higher education in Computer Science. He began his professional career in 1996 at the Institute of Medical Technology and Equipment in Zabrze. Between 1999 and 2000, he worked in the United States as an IT engineer at Majesco Sales. He subsequently held the position of Technical Director at Polstage in Rybnik. In 2004, he co-founded Euvic Sp. z o.o. (later Euvic S.A.), where he continues to serve as Vice-President of the Management Board. He is also a co-founder and currently the President of Silesian IT Park Sp. z o.o., as well as a member of the Supervisory Board of Euvic IT S.A. Since 2023, he has been a founder and member of the Council of The Good People Foundation. Additionally, Mr. Kosiński serves as President of the Management Board of DD365 Sp. z o.o.

Katarzyna Stabińska

Member of the Supervisory Board

Ms. Katarzyna Stabińska is an attorney-at-law actively practicing her profession. She is a graduate of the Faculty of Law and Administration of the University of Silesia in Katowice and a scholarship holder at Leipzig University (Leipziger Universität).

Ms. Stabińska specializes in mergers and acquisitions (M&A) transactions and practices law at Ślązak, Zapiór i Partnerzy – Attorneys-at-Law and Legal Advisors, general partnership, based in Katowice. She has been associated with this law firm for 15 years, and since 2015 has been a partner heading the M&A practice. Her professional interests are focused on commercial law, capital markets law, and restructuring law. Ms. Stabińska is a partner in both Ślązak, Zapiór i Partnerzy – Attorneys-at-Law and Legal Advisors and Ślązak, Zapiór i Partnerzy TAX – Tax Advisory, both based in Katowice.

According to the statement submitted to the Company, Ms. Katarzyna Stabińska does not conduct any business competitive with the Issuer and does not participate in any competitive company as a partner in a civil or partnership company, or as a member of the management or supervisory body of any competitive capital company or other legal entity.

Ms. Stabińska has not, within the last five years, been convicted by a final court judgment for offenses referred to in Article 18 §2 of the Polish Commercial Companies Code or offenses specified in the Act on Trading in Financial Instruments, the Act on Public Offering, or the Act of 26 October 2000 on Commodity Exchanges, nor for equivalent offenses under foreign law. Wojciech Gurgul

Member of the Supervisory Board

Mr. Wojciech Gurgul is a graduate of Applied Mathematics at the Faculty of Fundamental Problems of Technology, Wrocław University of Science and Technology.

From 1999 to 2008, he worked at General Electric in various managerial positions related to ERP system implementation and IT infrastructure. Between 2005 and 2021, he was a co-founder and President of the Management Board of PGS Software S.A., a company specializing in custom software development for clients worldwide. After PGS Software was integrated into the global Xebia group, he served as President of the Management Board of that company until 30 June 2023. He also served as Director on the Board of PGS Software Ltd in the United Kingdom until 16 June 2023. For more than two years, Mr. Gurgul has been providing advisory services to IT companies.

According to the statement submitted to the Company, Mr. Wojciech Gurgul does not conduct any business competitive with the Issuer and does not participate in any competitive company as a partner or member of a management or supervisory body. He has not, within the last five years, been convicted by a final judgment for offenses referred to in Article 18 §2 of the Commercial Companies Code or the relevant Acts, and has not been prohibited from serving as a member of management or supervisory bodies in commercial companies. He is not listed in the Register of Insolvent Debtors maintained under the Act of 20 August 1997 on the National Court Register.

Tomasz Misiak

Member of the Supervisory Board

Mr Tomasz Misiak is a graduate of the Wrocław University of Economics, IESE Business School, Georgetown University Global Leadership Seminar, Owners President Management Executive Program and Global CEO Program. Founder of Work Service S.A., the market leader in HR services in Central Europe, listed on the Warsaw Stock Exchange. From 1999 to 2007, he held the position of Vice President of the Management Board, then President of the Supervisory Board of Work Service S.A. until 2019. He also sat on the Supervisory Boards of the companies: Exact Systems Sp. z o.o., IT Kontrakt Sp z. o. o., Finance Care Sp. z o.o., Telakces Com Sp z .o.o., MM Conferences S.A, which is a company listed on New Connect. He was also a member of the Supervisory Boards of the companies: Hawe S.A., IDM S.A. He served as President of the Świat Idei Foundation, publisher of the Polish edition of Project-Syndicate. Currently, he serves as an advisor to the Management Board of Mizyak Investment Fund Sp. z o.o.. He has been Vice President of the Employers of Poland since 2012 and a member of the Polish Business Roundtable since 2014. He has extensive experience in socio-political activities. After a period of activity in student organisations, he became active in local government in the Wrocław City Council, where he held the position of Chairman of the Committee for Economic Initiatives. In 2005-2011, as a Senator of the Republic of Poland, he held the position of the Chairman of the Economy Committee and participated in the work of the European Union Committee. Winner of numerous business awards, including Teraz Polska, Ernst&Young Entrepreneur of the Year, Entrepreneurship Leader, or Market Leader, Manager of the Year. He is involved in economic and strategic consulting, in particular for the family fund Investment Mizyak Corp. He currently sits on the supervisory boards of: Personnel Service S.A., Antal Sp. z o.o., GMZ.co Sp. z o.o. (owner of intymna.pl), Goldgreen Sp. z o.o. and Stermedia.Ai Sp. z o.o..

Rafał Sonik

Member of the Supervisory Board

Mr. Rafał Sonik is a Polish entrepreneur and co-owner of Gemini Holding, a company engaged in the construction and management of large shopping centers – Gemini Park in Tarnów, Bielsko-Biała, and Tychy. He is also an active investor in the IT, pharmaceutical, book retail, and real estate development sectors. For nearly 20 years, he has been involved in philanthropic activities, supporting, among others, the Siemacha Association in Kraków.

For his social and business activities, he has been repeatedly honored with the highest state decorations – among others, in 2013, he received the Silver Cross of Merit.

Mr. Sonik also has a distinguished sports career – he is the first Polish winner of the legendary Dakar Rally (1st place in 2015 in the quad category), a nine-time FIM World Cup winner, and a five-time Polish Enduro Champion.

In the past three years and currently, Mr. Sonik has been a shareholder in numerous entities, including: Beauty Concept Sp. z o.o., BMS Development Sp. z o.o. sp. k., COM Development Sp. z o.o., Funmondo S.A., Gemini Holding Sp. z o.o., Główna Księgarnia Naukowa Sp. z o.o., Główna Księgarnia Naukowa Sp. z o.o. Sp. k., Hyperr Sp. z o.o., Poland National Team Sp. z o.o., Rafał Sonik Firma Handlowa “Elefant”, RS Rally Team Sp. z o.o., Sonik sp.j., ST-Shoes Sp. z o.o., and TT Age Sp. z o.o.

He holds management positions in Fundacja Stars4Stars, Gemini Holding Sp. z o.o., Gemini Park Bielsko-Biała Sp. z o.o., Gemini Park Tychy Sp. z o.o., Hyperr Sp. z o.o., ST-Shoes Sp. z o.o., and Gemini Park Tarnów Sp. z o.o.; serves as President of the Board of the Association of Polish Commercial Facilities and Partners, and is a Board Member of the Institute for Strategic Studies and the 126Evolution Association. He also holds supervisory positions in Fundacja #DobryHasztag and Funmondo S.A.

According to the statement submitted to the Company, Mr. Rafał Sonik does not conduct any business competitive with the Issuer and does not participate in any competitive company as a partner or as a member of a management or supervisory body. He has not, within the last five years, been convicted by a final judgment for offenses referred to in Article 18 §2 of the Commercial Companies Code or the Acts mentioned above, and he has not been prohibited by a court from serving as a member of company bodies. He is not listed in the Register of Insolvent Debtors.

Piotr Muszyński

Member of the Supervisory Board

Mr Piotr Muszyński is a graduate of the Faculty of Law and Administration at the University of Wrocław, as well as the Advanced Management Programme organised by IESE Business School/University of Navarra and the Stanford Executive Program, Stanford University. From 2008 to 2018, Mr. Piotr Muszyński served as a member of the Management Board of Orange Poland (formerly Telekomunikacja Polska S.A.) for Operations and then as Vice President of the Management Board for Strategy and Transformation. From 2017 to 2022, he was a Partner and Member of the Management Board of Oyou Sp. z o.o.. Since 2018, he has been a partner of Synestica Sp. z o.o.. Mr Piotr Muszyński is a member of the Foundation for Supporting the Development of Radio Communication and Multimedia Techniques at the Warsaw University of Technology and a social advisor to the President of the Employers of Poland for ICT. Mr Piotr Muszyński currently serves as President of the Management Board of Fixmap Sp. z o.o. and is a member of the Supervisory Boards of Liquid Systems, GMZ.co, Tonetic Group and Wide – Net II.

As he declared to the Company, Mr Piotr Muszyński is not conducting any activities competitive to the Issuer’s business, does not participate in a competitive company as a partner in a private partnership, a partnership or as a member of the governing bodies of a competitive capital company or a member of the governing bodies of any competitive legal entity. Mr Piotr Muszyński has not, in the last five years, been sentenced by a final court decision for any offence referred to in Article 18 § 2 of the Code of Commercial Partnerships and Companies or for offences specified in the Act on Trading, the Act on Offerings or the Act on Commodity Exchanges of 26 October 2000, or for analogous offences under foreign law, and has not received a court prohibition to act as a member of management or supervisory bodies in commercial law companies.
